1. Service Agreements

All operational, technological, marketing, and financial services provided by AmigoPro are subject to specific mutually agreed-upon contracts or Retainer Agreements. In the event of a conflict between these general Terms and a specific Client Contract, the Client Contract shall prevail.

2. Intellectual Property Rights

Unless otherwise stated, AmigoPro and/or its licensors own the intellectual property rights for all material on the website. All intellectual property rights are reserved. Upon full payment for custom project deliverables (such as website code or branding assets), the intellectual property rights for those specific deliverables are transferred to the client, unless stated otherwise in the contract.

3. Client Responsibilities

To ensure the timely delivery of our services, clients are expected to:

• Provide necessary access to accounts (e.g., ad accounts, CRM, hosting, NBR portals) promptly.
• Provide approvals and feedback within the agreed timelines.
• Ensure all information provided to AmigoPro (especially for compliance and tax filing) is accurate and lawful.

4. Limitation of Liability

In no event shall AmigoPro, nor any of its officers, directors, and employees, be held liable for anything arising out of or in any way connected with your use of this Website or our Services if the client has provided false data or acted against our strategic counsel (e.g., ignoring tax compliance warnings or altering code post-launch). AmigoPro's total liability shall not exceed the amount paid by the client for the specific service in question during the preceding 30 days.

5. Governing Law & Jurisdiction

These Terms will be governed by and interpreted in accordance with the laws of the People's Republic of Bangladesh. Any disputes arising out of these terms shall be subject to the exclusive jurisdiction of the courts located in Dhaka, Bangladesh.
